Please read these terms carefully before using Esperity Coach. By accessing the platform you agree to be bound by them.
The Platform is intended for individuals aged 18 or older. By using Esperity Coach you confirm that you are at least 18 years old and legally capable of entering into a binding agreement. Use by minors is only permitted with explicit parental or guardian consent and coach supervision.
Coaches must have legitimate qualifications, credentials, or experience relevant to their stated coaching domain. Esperity BV does not vet or certify coaches but reserves the right to remove accounts that violate these Terms or applicable law.
Coaches subscribe directly and create their own account. You are responsible for keeping your login credentials confidential and for all activity occurring under your account. You may not share accounts with other coaches.
Coachee accounts are created by the Coach on behalf of the Coachee. The Coachee receives an invitation, and must accept these Terms and the Privacy Policy before accessing the Platform. Coachees may not self-register. Coaches are responsible for ensuring that coachees are informed of and consent to data processing as described in the Privacy Policy.
Selects tools and content modules; creates and manages coachee accounts; sets programme structure; proposes questionnaires and wearable integration (subject to coachee consent); schedules appointments; sends and receives messages.
Accepts or declines invitation; can use or refuse any feature at any time; enters personal goals and parameters; responds to questionnaires; opts in/out of wearable tracking; can delete their account and data at any time.
The coaching relationship is solely between the Coach and the Coachee. Esperity BV acts only as the platform provider and is not a party to, nor responsible for, the coaching services delivered.
Access to the Platform is provided to Coaches via a paid subscription. Plans, features, and pricing are described on the Esperity Coach pricing page and may be updated from time to time with reasonable notice.
Subscriptions are billed in advance on a monthly or annual basis (depending on the plan selected). Payment is processed by our third-party payment processor. By providing payment details you authorise recurring charges until you cancel.
Where a free trial is offered, it lasts for the period stated at sign-up. At the end of the trial your subscription will automatically convert to a paid plan unless you cancel beforehand.
We will give at least 30 days' notice of any price changes. Continued use after the effective date constitutes acceptance of the new price.
You agree not to use the Platform to:
You retain ownership of all Content you upload or create on the Platform. By uploading Content you grant Esperity BV a limited, non-exclusive, royalty-free licence to store, display, and process that Content solely for the purpose of operating the Platform and providing the services.
The Esperity Coach platform, including its software, design, trademarks, and documentation, is owned by or licenced to Esperity BV. Nothing in these Terms grants you any rights in the Platform's IP beyond the right to use the Platform as described herein.
Any feedback or suggestions you provide to Esperity BV may be used without restriction or compensation.
Our collection and use of personal data is governed by our Privacy Policy and Cookie Policy, which form part of these Terms. By using the Platform you agree to the processing of your personal data as described in those policies.
Coaches act as independent data controllers for the personal data of their coachees. Coaches are responsible for complying with applicable data protection law (including GDPR) with respect to the coachee data they process through the Platform. Esperity BV acts as a data processor on behalf of coaches for such data and processes it in accordance with our Data Processing Agreement (available on request).
Esperity BV processes personal data in compliance with the EU General Data Protection Regulation (GDPR) for Users located in the European Union, and in accordance with the U.S. Health Insurance Portability and Accountability Act (HIPAA) where and to the extent it applies to Users located in the United States. We apply appropriate technical and organisational safeguards to protect personal and health-related data under both frameworks.
Coaches may propose the integration of wearable devices (e.g. fitness trackers, smartwatches) to track coachee activity data. Such integration requires the explicit, separate opt-in of the Coachee and may be withdrawn at any time.
Third-party integrations are subject to the terms and privacy policies of those third parties. Esperity BV is not responsible for the functionality or data practices of third-party services.
The Platform is provided "as is" and "as available". We do not warrant that the Platform will be uninterrupted, error-free, or fit for any particular purpose beyond what is expressly stated.
To the maximum extent permitted by law, Esperity BV's total liability to you arising out of or in connection with these Terms shall not exceed the subscription fees paid by you in the 12 months preceding the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages.
Coaches may cancel their subscription at any time through account settings. Coachees may opt out, refuse the service, or request account deletion at any time by contacting their coach or Esperity BV at dpo@esperity.com. See the Refund Policy for the financial implications of cancellation.
We may suspend or terminate your account immediately and without notice if you breach these Terms, if required by law, or if continued operation would harm other users or the Platform. We may also terminate with 30 days' notice for any other reason.
Upon termination, your right to access the Platform ceases. Your data will be handled in accordance with our Privacy Policy (retained for up to 24 months after last access, then anonymised, unless you request earlier deletion).
These Terms are governed by the laws of Belgium. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium, without prejudice to your rights as a consumer under the law of your country of residence.
For EU consumers: you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance by email or in-platform notification. Continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you may cancel your account before the effective date.
